Commercial terms and implementation boundaries.
Agreement and Scope
These Terms govern the commercial relationship between D2 GROUP ("we", "us", "D2") and the client ("you"). By executing a Statement of Work (SOW), paying an invoice, or engaging us for a workflow audit or sprint, you agree to these fundamental execution boundaries.
Engagements & Intellectual Property
We perform scoped implementation work, not open-ended staff augmentation. Our engagements typically follow defined shapes:
- Audits & Sprints: Focused engagements with clear deliverables (System maps, n8n workflows, connected logic).
- Retainers: Reserved capacity for optimization, break-fix, and iterative enhancements.
- Handoff & Ownership: Upon full payment of the engagement fee, you own the intellectual property of the specific implementation built in your environment. D2 retains the right to reuse underlying code snippets and architectural patterns.
Mutual Responsibilities
- Our Commitment: We will build the systems outlined in the SOW, test them, provide documentation, and maintain regular, async-friendly communication.
- Your Commitment: You will provide necessary access credentials promptly, designate a clear point-of-contact for approvals, and ensure source data is accurate.
- Delays: If a project halts for more than 14 days due to lack of client response or missing credentials, we reserve the right to pause the engagement and require a restart fee.
Scope & Support Boundaries
- As-Is Delivery: After final handoff and sign-off, system maintenance is the client's responsibility unless an active optimization retainer is in place.
- Change Requests: Modifications requested after SOW approval but before handoff will be assessed for scope impact and may require a separate sprint fee.
- Third-Party Outages: We are not responsible for API breaks or outages caused by third-party vendors (e.g., OpenAI, Make, AWS) once the build is concluded.
Liability & Fees
- Software Costs: All vendor subscriptions (AWS, OpenAI, etc.) are paid directly by you. We do not markup software licenses.
- Liability Limit: Our liability is strictly limited to the total amount paid by the client under the specific SOW in question. We are not liable for indirect damages or data loss due to platform failures.
Governing Law
These terms are governed by the laws of [LEGAL JURISDICTION PLACEHOLDER], unless otherwise specified in an individual Statement of Work.
Force Majeure
Neither party is liable for failure to perform due to events beyond their reasonable control, including third-party platform failures or widespread internet disruptions.
